Formation and Registration Forms Requiring Registered Agent Designation in Alaska
All Alaska business entity forms are available through the Corporation Forms & Fees page maintained by the Alaska Division of Corporations, Business and Professional Licensing (CBPL). Forms may be filed online through the Corporations Online Filing System (available for select entity types), by mail to Corporations Section, P.O. Box 110806, Juneau, AK 99811-0806, in person at 333 Willoughby Avenue, 9th Floor, State Office Building, Juneau, AK 99801-1770, or by fax to (907) 465-2974. The division phone number is (907) 465-2550 and the email address is corporations@alaska.gov. Changing an Alaska Registered Agent or Registered Office (Filed by Entity)
Alaska provides a universal Statement of Change form for all entity types except religious corporations, which use a separate, dedicated form. The filing fee is the same regardless of entity type, and the change will not be processed if the entity’s biennial report is not current.
| Form | Description | Filing Fee |
| Change of Registered Agent (Statement of Change) — All Entity Types Except Religious Corporation (08-409) | Changes the registered agent name, physical address, and/or mailing address on file; must be signed by an authorized officer, member, manager, partner, or attorney-in-fact depending on entity type | $25.00 |
| Change of Registered Agent (Statement of Change) — Domestic Religious Corporation (08-543) | Changes the registered agent for a domestic religious corporation; must be signed by the sole official designated in the articles and sealed with the corporate seal | $25.00 |
Changing an Alaska Registered Agent’s Own Name or Address (Filed by Agent)
Alaska provides a Mass Address Change form that allows a registered agent to update its own physical and/or mailing address across three or more entities for which it serves as agent on record, in a single filing. This form cannot be used to change the agent’s name or to resign; it is limited to address changes only. The registered agent is encouraged to compare its entity list against the division’s records before filing by searching the Corporations Database under “Agents.”
| Form | Description | Filing Fee |
| Registered Agent Mass Address Change — All Registered Agent Types (08-4701) | Updates the registered agent’s physical and/or mailing address on three or more related entities; must attach an alphabetical list of affected entities with their Alaska Entity Numbers | $40.00 |
If a registered agent serves as agent for fewer than three entities and needs to update an address, the entity itself must file a separate Statement of Change (Form 08-409 or 08-543) for each entity, at $25.00 per filing. Alaska does not offer a standalone agent-filed form for changing the agent’s own name across multiple entities; a name change requires a new Statement of Change filed by each affected entity.
Registered Agent Resignation and Rejection Forms in Alaska
Alaska provides a single resignation form that applies to all entity types. There is no separate rejection-of-appointment form; an agent who was named without consent would use the resignation process. The resignation becomes effective 30 days after the division receives the notice unless the entity appoints a successor registered agent before that period expires.
| Form | Description | Filed By | Filing Fee |
| Registered Agent Resignation — All Entity Types (08-4981) | Resigns the current registered agent on record; the entity becomes non-compliant if no successor is appointed within 30 days | Registered agent | $25.00 |
The resigning agent must provide the entity’s most recent principal office address and the names, titles, and addresses of its current officials or owners so that the division can notify them of the vacancy.
Reinstatement Forms Requiring Registered Agent Information in Alaska
Alaska does not use a dedicated reinstatement form. Domestic entities that have been involuntarily dissolved for fewer than two years may request reinstatement by emailing corporations@alaska.gov with the entity’s legal name and Alaska Entity Number. Filing methods are the same as described above for other filings, though the reinstatement request itself is initiated by email. The division will then advise the entity of any outstanding filings, fees, or biennial reports that must be brought current before reinstatement can be processed, including confirming that the entity has a valid registered agent on record.
| Entity Types Eligible for Reinstatement | Reinstatement Window |
| Business Corporation, Professional Corporation, Cooperative Corporation, LLC, LLP | Within 2 years of involuntary dissolution |
Domestic nonprofit corporations, domestic religious corporations, voluntarily dissolved or withdrawn entities, and all foreign entities with revoked authority cannot reinstate and must file new formation or registration documents. The entity must also file a Statement of Change (Form 08-409) to appoint a new registered agent if the previous agent is no longer on record or available.
Conversion Forms Requiring Registered Agent Designation in Alaska
Alaska’s conversion forms under the Entity Transactions Act (AS 10.55) are entity-specific rather than universal. Each Statement of Conversion requires the attachment of the target entity’s formation document (such as Articles of Organization or Articles of Incorporation), which in turn contains the registered agent designation fields. The fee varies depending on whether the converting entity already holds an Alaska Entity Number.
| Form | Description | Filing Fee |

FAQ
Where can I find all current Alaska Division of Corporations business forms?
All current forms are available on the Corporation Forms & Fees page of the Alaska CBPL website. The page is organized by entity type, with domestic (Alaskan) and foreign (non-Alaskan) forms listed separately under each category: Limited Liability Company, Business Corporation, Professional Corporation, Nonprofit Corporation, Cooperative Corporation, Limited Liability Partnership, Limited Partnership, and Religious Corporation. Each listing includes the form name, form number, and filing fee. The division also provides an online filing system for select filings, including LLC Articles of Organization, business corporation and nonprofit Articles of Incorporation, foreign LLC and corporation Certificates of Authority, biennial reports, and initial reports. Alaska does not have a Secretary of State; business entity filings are handled by the Corporations Section within the Division of Corporations, Business and Professional Licensing under the Department of Commerce, Community, and Economic Development.
Is the registered agent consent form required to be filed with the Alaska Division of Corporations?
Alaska does not have a separate, standalone registered agent consent form. Registered agent consent is documented through the designation fields built into each formation, registration, and change form. When an entity files its Articles of Organization, Articles of Incorporation, Certificate of Authority, Certificate of Limited Partnership, Statement of Qualification, or Statement of Change, it enters the registered agent’s name and address directly on the form, and the authorized signer attests to the accuracy of the information. The registered agent is not required to sign the formation or registration document. However, naming an agent without their knowledge or consent carries practical risks: if the agent is unaware of the appointment, the agent may immediately file a Registered Agent Resignation (Form 08-4981), and the entity will become non-compliant 30 days later if no successor is appointed.
What form is used to change a registered agent in Alaska?
The Change of Registered Agent (Statement of Change) — All Entity Types Except Religious Corporation (08-409) is used to change the registered agent, the agent’s physical address, or the agent’s mailing address for LLCs, business corporations, professional corporations, nonprofit corporations, cooperative corporations, limited partnerships, and limited liability partnerships. The filing fee is $25.00 regardless of entity type. Religious corporations must instead file the Change of Registered Agent — Domestic Religious Corporation (08-543), also at a $25.00 filing fee. Both forms are filed by mail to Corporations Section, P.O. Box 110806, Juneau, AK 99811-0806 or by fax to (907) 465-2974. The change will not be processed if the entity’s biennial report is not current. Questions may be directed to the Corporations Section at (907) 465-2550 or corporations@alaska.gov.
What is the difference between the entity-filed change form and the agent-filed change form in Alaska?
Alaska does not provide a separate agent-filed form for changing the registered agent’s name. The Statement of Change (Form 08-409 or 08-543) is always filed by the entity itself, signed by an authorized officer, member, manager, or partner. The only form filed directly by a registered agent is the Registered Agent Mass Address Change (08-4701), which is limited to updating the agent’s physical and/or mailing address across three or more entities simultaneously, for a flat $40.00 fee. The Mass Address Change cannot alter the agent’s name, cannot be used to resign, and requires the agent to attach an alphabetical list of all affected entities with their Alaska Entity Numbers. If a registered agent needs to update an address for fewer than three entities, the entity must file a separate Statement of Change for each one at $25.00 per filing.
Is there a fee to form a nonprofit corporation in Alaska?
The filing fee to form a domestic nonprofit corporation using the Articles of Incorporation (08-0438) is $50.00, and the filing fee for a foreign nonprofit Certificate of Authority (08-0452) is also $50.00. By comparison, domestic for-profit business corporations, professional corporations, and cooperative corporations each pay $250.00 to file their formation documents. The nonprofit fee is the lowest formation fee among all Alaska entity types other than religious corporations, which also pay $50.00. Online filing is available for both domestic and foreign nonprofit corporations. The complete fee schedule is published on the Corporation Forms & Fees page.
What forms are used to register an out-of-state LLC in Alaska?
A foreign (non-Alaskan) LLC registers in Alaska by filing the Certificate of Registration of Foreign LLC (08-0497), which requires designation of a registered agent with an Alaska physical and mailing address. The filing fee is $350.00. Online filing is available through the Corporations Online Filing System. The application must include a certificate of good standing from the LLC’s home jurisdiction. After registration, the foreign LLC must file biennial reports at $200.00 every two years to remain in good standing. A foreign LLC that transacts business in Alaska without registering may not maintain a proceeding in an Alaska court until it registers, and may be subject to a civil penalty.
What forms are used to form or register a partnership in Alaska?
Alaska recognizes limited partnerships and limited liability partnerships as registered entity types. A domestic limited partnership is formed by filing the Certificate of Limited Partnership (08-508) at a $150.00 filing fee, which creates a new entity with a five-year duration that must be renewed by amendment. A foreign LP registers using the Certificate of Registration for Foreign Limited Partnership (08-517), also at $150.00. Both LP forms require designation of a registered agent. A domestic limited liability partnership is formed by filing the Statement of Qualification (08-0524) at $150.00, which registers the limited liability status of an existing general partnership rather than creating a new entity. A foreign LLP registers by filing the Statement of Foreign Qualification (08-0532), also at $150.00. Alaska’s LLP filing fee is a flat fee, not calculated on a per-partner basis. Alaska does not offer a separate LLLP designation; a limited partnership seeking limited liability protection for its general partners would need to be structured using the available LP and LLP frameworks. General partnerships in Alaska are not required to register with the Corporations Section, though they may need an Alaska Business License.
Can I file Alaska CBPL forms online?
Several Alaska entity filings can be submitted online through the Corporations Online Filing System. Online filing is available for domestic LLC Articles of Organization, foreign LLC Certificates of Registration, domestic business corporation Articles of Incorporation, foreign business corporation Certificates of Authority, domestic nonprofit Articles of Incorporation, foreign nonprofit Certificates of Authority, initial reports, biennial reports, and certificates of compliance. All major credit cards are accepted for online payment. Online filings are processed for immediate posting, compared to 10–15 business days for hardcopy filings submitted by mail. Partnership forms (LP and LLP), cooperative corporation forms, religious corporation forms, professional corporation Articles of Incorporation, registered agent Statements of Change, Mass Address Changes, and resignation forms must all be submitted by mail or fax and cannot be filed online. Alaska does not charge a separate convenience fee for online filing. Standard expedited processing is not offered; the division processes all filings in the order they are received.
